1. Scope
These Terms govern your use of SkincareFactoryOEM.com and any contract for OEM/ODM skincare manufacturing, private label production, regulatory documentation, sampling, or consulting services offered through the website.
2. Services
We provide B2B contract manufacturing services: formulation development, packaging sourcing, filling, assembly, labeling, quality control, regulatory documentation (PIF, CPSR, CPNP), EU Responsible Person services, and global shipping. Specific deliverables, MOQ, lead times, and pricing are defined in the signed quotation or master supply agreement.
3. Quotes & Orders
Quotations are valid for 30 days unless otherwise stated. Orders are binding upon written confirmation (PO + Proforma Invoice payment). We reserve the right to refuse orders that do not meet regulatory or ethical standards.
4. Pricing & Payment
Prices are EXW Guangzhou unless otherwise agreed. Standard payment terms: 50% deposit upon order confirmation, 50% balance before shipment. Acceptable methods: T/T, L/C at sight, PayPal (for samples). All bank charges are the buyer's responsibility.
5. Intellectual Property
Buyer retains all IP rights to its brand, formula (if provided), and packaging artwork. We retain rights to stock formulas, manufacturing know-how, and our own trademarks. Royalty-free perpetual license to use the formula is granted to the buyer for the agreed SKUs.
6. Quality & Compliance
All products are manufactured under ISO 22716 / GMPC. Each batch is QC-tested. Buyer is responsible for confirming regulatory compliance in the destination market. We provide PIF/CPSR/CPNP support for EU distribution.
7. Limitation of Liability
Our liability is limited to the contract value of the affected order. We are not liable for indirect, consequential, or punitive damages.
8. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control (natural disasters, pandemics, port closures, government action, etc.).
9. Governing Law
These Terms are governed by the laws of the People's Republic of China. Disputes are resolved through friendly negotiation; failing that, by China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
